Agreement, parties and eligibility
ANTARES is operated by EMT Aerospace Technologies S.r.l., a company incorporated under the laws of Italy, with registered office at Via Ragazzi del '99, 43 — 25065 Lumezzane (BS), Italy, VAT and tax code 04772590982, registered with the Brescia Register of Companies under REA BS-640314, share capital €10,000.00 fully paid up, certified email emtaerospacetechnologies@pec.it ("EMT", "we", "us"). By creating an account you accept these Terms, the Privacy Notice and the Acceptable Use Policy, and you enter into a binding agreement with EMT.
The minimum age to use ANTARES is 14. If you are under 18, you may use ANTARES only with the authorisation of a parent or legal guardian, who accepts these Terms on your behalf, supervises your use and is responsible for it. Where the law of your country of residence sets a higher age for consent to information society services, you may register below that age only with the verifiable consent of your parent or guardian. A paid plan may be entered into only by a person with full legal capacity: where the account holder is under 18, the contracting party for any paid plan is the parent or guardian.
These Terms exist in several languages. The English version is authoritative; translations are provided for convenience only and, in case of divergence, the English text prevails. Nothing in this clause limits rights that the law of your country of residence grants you in your own language.
The service
ANTARES provides access, through a single account and subscription, to artificial intelligence models operated by third-party providers, together with EMT's own tools for conversation, model comparison, software creation, parametric CAD, assisted work on your computer and remote execution. The features available to you depend on your plan.
No specific model is guaranteed. A model becomes available on ANTARES only after technical, economic and legal qualification, and the catalogue changes as providers publish, modify or withdraw their models. Interruptions, rate limits or quality changes at a provider affect ANTARES accordingly; we state which provider serves a request wherever we are able to.
We may add, modify or withdraw features. Where a change is material and adverse to you we give reasonable prior notice and, if you are a consumer, you may terminate without penalty. Features marked as preview or beta are provided for evaluation and may change or end without notice.
Account and security
You must provide accurate registration information and keep it up to date. An account is personal: credentials must not be shared, and each person must use their own account. You are responsible for activity carried out through your account, save where that activity results from a failure attributable to us.
You must notify us without undue delay at emtantares@emtaerospacetechnologies.com if you believe your credentials or a paired device have been compromised. We may require re-verification of your email address, revoke sessions or unpair devices where necessary to protect the account, the service or other users.
Plans, credits and payment
ANTARES is offered on a Free plan and on paid plans. Consumption of the service is measured in credits. Credits are a unit of measurement of usage: they are not electronic money, not a payment instrument, not a claim for a sum of money, have no value outside ANTARES, cannot be transferred or exchanged, and are not redeemable for cash. Credits included in a plan are made available for the relevant period and, unless expressly stated otherwise, do not carry over.
Prices are shown before purchase, inclusive of applicable VAT where indicated. Payment is processed by our payment providers: Stripe for the web and Google Play Billing for the Android application. Subscriptions renew automatically for successive periods until cancelled; cancellation takes effect at the end of the current period.
There is no automatic overage charge. When available credit, a daily limit or a budget limit is exhausted, operations that would incur cost are refused rather than billed. This is a deliberate design of the service and not a malfunction. Where the Free plan is funded by advertising or rewarded advertising, its display is subject to the consent you give through the consent management platform, and it is not offered on accounts belonging to users under 18.
Right of withdrawal
If you are a consumer resident in the European Union, you have the right to withdraw from a paid plan within fourteen days of its conclusion, without giving any reason. You may exercise this right from the withdrawal page in your account or by an unequivocal statement sent to emtantares@emtaerospacetechnologies.com.
ANTARES supplies digital content and digital services that begin immediately. If you expressly request that performance begin during the withdrawal period and acknowledge that you thereby lose your right of withdrawal in respect of the performance already supplied, that right is lost to that extent, in accordance with Article 16 of Directive 2011/83/EU and Article 59 of the Italian Consumer Code. Where performance has only partly been supplied you owe an amount proportionate to what has been supplied, and we refund the remainder without undue delay and in any event within fourteen days.
Output, verification and intellectual property
Outputs are generated by statistical models. They may be inaccurate, incomplete or misleading, and you must verify them before relying on them. Outputs do not constitute legal, medical, financial, tax or engineering advice and do not replace professional judgement, certification or independent testing. This applies in particular to geometry, drawings and technical files produced by ANTARES CAD Studio, which are working aids and not certified engineering deliverables.
ANTARES must not be used as a component in circumstances where failure or error could lead to death, personal injury or severe damage to property or the environment, including the operation of aircraft, spacecraft, vehicles, medical devices or critical infrastructure, unless EMT has agreed to such use in advance and in writing.
You retain all rights you hold in the content you submit. You grant EMT a worldwide, non-exclusive, royalty-free licence to host, reproduce and process that content, and to transmit it to the provider selected, solely to the extent necessary to operate the service, to comply with the law and to protect the safety of the service. As between you and EMT you hold the rights in the outputs generated for you, to the extent they are protectable and subject to the rights of third parties; because models are statistical, identical or similar outputs may be generated for other users and no exclusivity can be assured.
We do not use your content or your outputs to train models, save where you give separate, specific and revocable consent. Where you send us suggestions or feedback you grant us a free licence to use them to improve the service.
Acceptable use, suspension and termination
The Acceptable Use Policy forms an integral part of these Terms. We may limit, suspend or terminate access to all or part of the service where you are in breach of these Terms or of that Policy, where required by law or by a competent authority, or where necessary to address a security, fraud or abuse risk. We inform you of the measure and of its reasons, and you may contest it through the internal complaint procedure described in the Acceptable Use Policy, unless the law prohibits us from doing so.
You may close your account at any time from your account settings. On closure we delete or anonymise your personal data in accordance with the Privacy Notice, except where retention is required by law; you may export your data before closing.
Liability, changes, governing law and disputes
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded, including the statutory rights of consumers, which remain unaffected.
Subject to the foregoing, EMT is not liable for indirect or consequential loss, loss of profit, loss of business, loss of opportunity, or loss or corruption of data beyond the restoration of the backups we maintain. Our aggregate liability arising in connection with the service in any twelve-month period is limited to the greater of the amounts you paid to EMT in that period and one hundred euro. These limitations do not apply where you are a consumer and the applicable law does not permit them. If you use ANTARES in a professional capacity, you will indemnify EMT against third-party claims arising from the content you submit, from your outputs or from your breach of these Terms.
We may amend these Terms. We give at least thirty days' notice of material changes, by email and in the application; if you do not accept them you may terminate before they take effect, and continued use after that date constitutes acceptance.
These Terms are governed by Italian law. If you are a consumer, this choice does not deprive you of the protection of the mandatory rules of the law of your country of residence, you may bring proceedings before the courts of your domicile, and you may use the European online dispute resolution platform. If you use ANTARES in a professional capacity, the courts of Brescia, Italy, have exclusive jurisdiction. If any provision is held invalid the remainder continues in force; neither party is liable for failure caused by events beyond its reasonable control; we may assign this agreement in connection with a corporate transaction provided your rights are not diminished. These Terms, the Privacy Notice and the Acceptable Use Policy constitute the entire agreement between you and EMT in relation to the service.
